BYLAWS
OF
THE FLORIDA CHAPTER OF THE
ASSOCIATION OF PROFESSIONAL GENEALOGISTS

ARTICLE I. NAME
1. The name of this organization shall be the Florida Chapter of the Association of Professional Genealogists (APG), hereinafter referred to as the Chapter.
2. This organization shall operate as a non-profit educational organization under the statutes of the state of Florida.
ARTICLE II. OBJECTIVES
1. To promote awareness of, and interest in, professional genealogical services
2. To promote professional standards in genealogical research, writing, and
speaking
3. To engage in activities which improve access, facilitate research, and preserve
records used in the fields of genealogy and local history, focused on, but not
limited to, Florida
4. To promote awareness of activities and/or laws which may affect genealogical
and historical research, focused in, but not limited to, Florida
5. To educate the membership and public through publications and lectures, and
6. To provide support for those engaged in genealogical pursuits as business.
ARTICLE III. MEMBERSHIP
1. Members of the Chapter shall be members of the Association of Professional
Genealogists.
2. Members may be assessed annual dues as approved by the officers of the Chapter.
ARTICLE IV. OFFICERS AND ELECTION
1. The Chapter's governing body shall be a five-member board, consisting of
a President, Vice President, Secretary, Treasurer, and Chapter Representative,
elected by the general membership. The board may appoint members to fill vacancies
on the board.
2. Board members shall serve two-year terms, except for the initial election
of Chapter officers. In the first Chapter election, the Secretary and Chapter
Representative shall be chosen for one-year terms to create staggered terms;
all other officers shall be selected for two-year terms. In succeeding elections,
all officers shall be elected to two-year terms.
3. All terms shall begin January first.
4. The Chapter shall be governed by these bylaws and by the bylaws of APG and
shall adhere to any changes or revisions adopted by APG after the Chapter is
accepted. The Chapter shall, at all times, be bound by the Policy and Procedures
as set forth in the APG Policy Manual and Procedure Manual, including changes
or revisions adopted after the Chapter is accepted.
ARTICLE V. MEETINGS
1. The Chapter shall meet at least twice a year, including an annual meeting,
on dates and places determined by the board.
2. Chapter meetings are open to the public, who may attend as guests.
3. Only members can vote, serve as officers and be listed in Chapter directories
and promotional materials.
4. Non-members may attend Chapter meetings and participate in Chapter activities
except those specified in Article V, Section 3.
ARTICLE VI. OPERATING PROCEDURES
1. The Chapter Representative shall be responsible for sending reports at least
twice yearly to the Chapter Liaison of APG, who shall act as a contact between
the Chapter, the Chapter Representative and the APG Executive Committee (EC).
The Chapter Representative shall prepare reports for the APGQ editor.
2. The Chapter shall communicate its activities, concerns, and questions through
the parent organization’s Chapter Liaison, who shall channel such communications
to the appropriate APG entities. APG shall inform the Chapter of changes in
policy and procedures through the Chapter Liaison.
3. The Chapter shall be self-governing, except as otherwise required by its
bylaws. APG cannot be held legally responsible for the actions of the Chapter
beyond the bylaws.
4. The Chapter shall conduct itself in a manner that is in keeping with the
professionalism of APG. All literature, banners, posters, letters, etc. shall
be professional in appearance so as to maintain APG’s image as a professional
organization.
5. Any literature, press releases or other such communication intended for
the general public shall be submitted to APG’s Publications Advisory
Committee at least forty-five days in advance of use or as soon as possible.
ARTICLE VII. FINANCES
1. The Chapter’s
board shall decide the amount of annual membership dues.
2. The Chapter shall deposit all monies collected, including dues, in a bank
account in the name of the Chapter.
ARTICLE VIII. AMENDMENTS
1. No amendments can be made to these bylaws without the approval of the Executive
Committee of APG.
2. Chapter members may propose amendments or revisions of these bylaws. If approved
by members at the annual meeting, the change shall be submitted to the EC for
approval. APG procedures require that the Chapter Representative submit the
proposed change to the Chapter Liaison, who transmits it to the EC. The EC shall
notify the Chapter Liaison of its decision within 90 days of receipt of the
request. The Liaison shall then notify the Chapter Representative.
ARTICLE IX. DEACTIVATION
1. The Chapter may be deactivated by APG under provisions in the APG Procedures
Manual.
2. The Chapter may request deactivation under provisions in the Procedures Manual.
